Referral & Ambassador Program Terms
Please read these terms carefully before participating in the Viewdora Referral & Ambassador Program.
Effective Date: October 1, 2026 (Version 2.1)
These Referral & Ambassador Program Terms (the “Agreement”) govern participation in the Viewdora Referral & Ambassador Program (the “Program”), operated by Forged Concepts LLC (“Viewdora,” “Company,” “we,” “our,” or “us”) in connection with the Viewdora secure photo-gallery service. By enrolling in, applying to, or otherwise participating in the Program, you (“Participant,” “you,” or “your”) agree to be bound by this Agreement.
Viewdora provides these terms for transparency. They form a binding agreement, not legal advice. If anything here is unclear, we encourage you to consult your own legal or tax advisor before enrolling.
This Agreement incorporates by reference, and you also agree to comply with, the Viewdora Terms of Service, as amended from time to time. Capitalized terms used but not defined in this Agreement have the meanings given in the Terms of Service. The Viewdora Privacy Policy is a notice that describes how we handle personal information (including Program and acceptance records); you acknowledge it, but it does not impose separate contractual obligations on you beyond those stated in this Agreement. If documents conflict with respect to the Program, the order of precedence is: (1) any special terms we agree with you in a signed or emailed writing; (2) this Agreement; (3) the Terms of Service. Campaign settings displayed in the Tracking Platform describe how tracking is implemented; if they conflict with this Agreement, this Agreement controls.
1. Overview
The Program is administered using Rewardful (the “Tracking Platform”), a third-party referral- and affiliate-tracking service that integrates with our payment processor, Stripe. Participants receive their referral links, promo codes (where applicable), dashboard, and reporting through the Tracking Platform’s hosted portal. Viewdora does not operate a separate program dashboard.
The Program has one participant type:
- Ambassadors: Approved partners, including influencers, creators, educators, affiliates, and existing Viewdora customers, who promote Viewdora through referral links, promo codes, social media content, email lists, websites, videos, or other marketing channels. Ambassadors earn cash commissions as described in Section 4. Existing customers may apply as described in Section 3.
Acceptance. By checking an acceptance box or clicking “I accept” (or any equivalent control) during enrollment, by submitting an application, or by otherwise participating in the Program, you acknowledge that you have read, understood, and agree to be bound by this Agreement, including the arbitration agreement and class-action waiver in Section 17. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” and “your” refer to that entity.
Electronic transactions and records. You consent to enroll in the Program and receive Program notices and disclosures electronically. We (or the Tracking Platform on our behalf) keep a record of your acceptance, including the version of this Agreement you accepted and the date and time of acceptance. You may print or save a copy of this Agreement at any time, and we will provide a copy of the version you accepted on request to hello@viewdora.com. If you do not agree to transact electronically, do not enroll.
2. Eligibility
- You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a legally binding contract.
- Ambassadors are admitted at the Company’s sole discretion; we may approve, reject, suspend, or remove any applicant or Participant for any lawful reason, with or without cause.
- You may maintain only one Program account unless we expressly authorize otherwise in writing. Duplicate or multiple accounts may be terminated and associated rewards forfeited.
- You must provide accurate, complete, and current registration and payment information, and keep it up to date.
- Ambassadors must be able to receive payouts through a PayPal account in their own name in their country of residence. PayPal is not available in every country, so check before you apply.
- You may not participate in the Program if your participation, receipt of payments, or transactions with Viewdora would violate applicable U.S. economic-sanctions, export-control, or other applicable law, including restrictions administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC). Viewdora may conduct reasonable restricted-party or sanctions screening and may suspend, reject, or terminate participation where required by law.
Persons Connected with Viewdora. The following persons are not eligible to participate in the Program as Ambassadors: any officer, director, manager, member, owner, employee, contractor, agent, intern, or other person providing services to Viewdora or Forged Concepts LLC; any person with access to Viewdora systems, customer information, or non-public Program or business information; any vendor, supplier, reseller, or other person or entity having a business or commercial relationship with Viewdora or Forged Concepts LLC other than as a customer of the Services; any immediate household member of any such person; and any person acting directly or indirectly on behalf of any of the foregoing. Being a Viewdora customer does not by itself make a person ineligible. Purchasing a Subscription and using the Services is not a business or commercial relationship of the kind described above, and customers may apply to become Ambassadors under Section 3 if they are not otherwise employed by, contracted with, providing services to, or doing other business with Viewdora or Forged Concepts LLC.
By enrolling or participating, you represent that you are eligible under this Section and agree to notify Viewdora promptly if your eligibility changes.
If a Participant becomes ineligible under this Section after enrollment, Program participation terminates when the ineligibility arises or when Viewdora gives notice of termination. Valid commissions or rewards that were fully earned and approved before the Participant became ineligible remain payable unless affected by fraud, prohibited conduct, or another valid reversal under this Agreement. No additional rewards or commissions accrue after the date of ineligibility.
3. Existing Customers
Existing Viewdora customers may apply to become Ambassadors under Section 4. Approved customers earn the same commission as any other Ambassador. There is no separate customer credit reward.
4. Ambassador / Influencer Program
- Standard commission: Approved Ambassadors earn a commission equal to 25% of eligible Subscription payments for up to 12 months per referred customer, measured from the referred customer’s first successful paid Subscription payment, for as long as that customer remains active and paying (the “Commission Term”).
- No lifetime commissions. Commissions for a referred customer end no later than 12 months from that customer’s first successful paid Subscription payment, regardless of whether the customer continues subscribing. A payment successfully charged on or before the last day of the Commission Term generates a full commission even if the service period it covers extends past the end of the Commission Term.
- Rate lock: The Commission Rate and Commission Term duration in effect on the date a referred customer is first validly attributed to you apply to that customer for that customer’s entire Commission Term. Changes to rates or duration apply only to customers first attributed on or after the effective date of the change (see Section 15).
- Example: You refer a photographer who subscribes to a $29/month plan. Each eligible monthly payment earns you 25% × $29 = $7.25, for up to 12 monthly payments (up to $87 total). If the customer instead prepays an annual plan of $288, that single payment earns 25% × $288 = $72 when it is approved. Actual amounts depend on the plan, billing interval, discounts, and any refunds.
- Ambassadors may promote Viewdora using their assigned referral links and/or approved promo codes through channels they own or are authorized to use, in compliance with Sections 10–13.
5. Promo Codes and Discounts
- Referred customers may receive 20% off their first 3 months on a monthly Subscription plan, or 10% off their first year on an annual Subscription plan, using an approved Viewdora promo code. Promotional discounts are managed through Stripe promotion codes and tracked through the Tracking Platform.
- Viewdora may offer other promotional incentives from time to time, such as limited-time discounts or plan-specific promotions, and may change, pause, or end any promo-code offer at any time.
- You may promote only the prices, discounts, and promo codes that Viewdora officially publishes or assigns to you. You must not offer or advertise unauthorized coupons, discount codes, rebates, or cash-back offers, and you must not imply that a discount exists where none does.
- Posting referral links or promo codes on coupon or deal aggregation sites requires Viewdora’s prior written approval.
6. Referral Qualification Rules
Commissions are not earned at signup. A referral qualifies, and a commission becomes eligible, only when all of the following are met:
- The referred customer has not previously maintained a paid Viewdora Subscription. An existing Viewdora user who has never previously held a paid Subscription may qualify. Renewals, upgrades, or reactivations by a customer who previously maintained a paid Subscription do not qualify as a new referral.
- The referred customer becomes a paid subscriber and makes a successful first paid Subscription payment.
- The Subscription remains active for at least 30 days after the first successful paid Subscription payment (the “Qualification Period”).
- No refund, chargeback, cancellation, payment dispute, payment reversal, or suspected fraud occurs during the Qualification Period.
- Viewdora determines, in its reasonable discretion, that the referral is valid and compliant with this Agreement.
Attribution. Referrals are attributed through the Tracking Platform on a 30-day, last-click basis: a signup counts only if it occurs within 30 days of the qualifying click (or uses your approved promo code) and yours was the last referral link clicked. Attribution depends on the user’s browser accepting and retaining cookies and on the Tracking Platform functioning; the Company is not responsible for tracking failures caused by user settings, ad blockers, privacy tools, or third-party systems.
Attribution conflicts. The following rules resolve conflicting signals:
- Among referral links, the last valid click before signup controls.
- If no valid referral cookie is present at signup, an approved promo code linked to an Ambassador and used at checkout attributes the customer to that Ambassador.
- If a valid referral cookie from one Ambassador and a promo code linked to a different Ambassador are both present at checkout, the attribution recorded by the Tracking Platform controls, subject to correction of manifest error.
- Once a customer is validly attributed to a Participant, that attribution is not reassigned by later links or codes. Referred customers must in any event be new customers under this Section, so a code used by an existing customer does not create a new attribution.
Records and corrections. The Tracking Platform’s records are the system of record for clicks, referrals, conversions, and commissions, and are presumed correct; however, Viewdora may correct manifest tracking errors (in either direction) based on reliable evidence, including Stripe records, and may make manual attribution corrections in the Tracking Platform for that purpose. If you believe a referral was not attributed to you or was attributed incorrectly, you must report it to hello@viewdora.com within 60 days of the referred signup, with supporting information; we will review documented claims and respond within 30 days. Claims reported later may be declined.
7. Commission and Reward Structure
- Eligible Subscription payments are recurring Subscription fees for Viewdora Subscription plans (monthly or annual, including annual prepayments in full) that are actually paid to and received by Viewdora during the Commission Term. The commission base is the amount the customer actually pays after discounts, promotions, and credits, and excludes taxes and similar governmental charges where identified by the Tracking Platform. Payment-processing fees are not deducted from the commission base. One-time or non-subscription charges (if any are offered in the future) are excluded unless we state otherwise in writing.
- Billing changes: Commissions automatically follow what the referred customer actually pays, as recorded by the Tracking Platform from Stripe billing events. If the customer upgrades, downgrades, or otherwise changes plans during the Commission Term, commissions are calculated on the new payment amounts; refunds, cancellations, and trial periods reduce or end commissions accordingly. A prospective cancellation ends commissions on future unpaid renewals but does not, by itself, reverse commission on an earlier eligible payment that remains collected and non-refunded.
- Approval timing: Each commission is reviewed individually. A commission becomes approved once (a) the referral has cleared the Qualification Period in Section 6, and (b) the underlying payment is at least 30 days old with no refund, chargeback, dispute, or suspected fraud. The first commission for a referred customer therefore becomes approved at the end of the Qualification Period.
- Exclusions: No reward or commission is owed on amounts that are refunded, charged back, disputed, waived, fraudulent, or otherwise not collected; on transactions that violate this Agreement; or on referrals attributable to self-referrals or conduct prohibited by Section 10.
8. Payout Timing and Minimum Thresholds
- Approved Ambassador commissions are reviewed and paid monthly, provided the Ambassador has reached the minimum payout threshold and has supplied all required payment and tax information.
- Minimum threshold: A US$50 minimum payout threshold applies. Balances below $50 roll forward to the following month. The threshold is waived for a final payout following termination of your participation (Section 15).
- Payment methods: Payouts are made by PayPal only. You need a PayPal account in your own name to receive payouts. Payouts are made in U.S. dollars unless otherwise stated. You are responsible for PayPal fees and currency-conversion fees, which are deducted from your payout.
- Clawbacks: If a transaction underlying a paid commission is refunded, charged back, reversed, or found fraudulent within 180 days after the commission was paid to you, the corresponding commission may be reversed and deducted from your current or future balances. A customer’s cancellation of future renewal, without a refund, chargeback, reversal, or other invalidation of the underlying payment, does not by itself reverse commission already validly earned on that payment. The 180-day limit does not apply to chargebacks or other payment reversals initiated by the customer or their bank, or to fraud or violations of this Agreement, for which clawback is not time-limited. Voluntary goodwill refunds that Viewdora chooses to issue more than 180 days after the underlying payment will not be clawed back from commissions already paid. Clawback of any transaction is limited to the commission actually paid on that transaction. If a clawback exceeds your available balance, we will provide reasonable supporting documentation with any reimbursement request, and you agree to reimburse the shortfall or allow us to offset it against future commissions.
- Withheld amounts: If we withhold payouts to investigate suspected fraud or misuse, we will complete the investigation within 90 days. At the conclusion of the investigation, we will release the withheld amounts or provide a written disposition explaining any forfeiture. You may first challenge that disposition by providing supporting information to Viewdora. Where the withholding or forfeiture arises from a termination determination under Section 15, the review procedure in Section 15 applies. Any other unresolved dispute concerning a withheld payout is subject to the dispute-resolution procedure in Section 17.
- You are responsible for keeping your payout information accurate. The Company is not liable for payments delayed or lost due to incorrect details, and unclaimed balances may be subject to applicable unclaimed-property laws.
9. Taxes and Payment Information
- Participants are responsible for their own taxes. Rewards and commissions are provided gross of taxes, and you are solely responsible for determining, reporting, and paying all taxes arising from your participation in the Program.
- Viewdora may require tax forms, identity verification, or payment information before issuing cash payouts. For U.S. participants, this may include a valid IRS Form W-9; for non-U.S. participants, this may include a Form W-8BEN or equivalent, and any other tax documentation we reasonably request.
- Where required by law, the Company (or the Tracking Platform on our behalf) may issue an IRS Form 1099 or other tax form, and may withhold or report amounts as required.
- The Company may withhold payment until valid and complete tax and payment documentation is received.
10. Prohibited Conduct and Fraud
You must not, directly or indirectly:
- Generate self-referrals, refer your own purchases, or refer accounts owned or controlled by you, your household, your affiliated entities, or anyone acting on your behalf.
- Create fake accounts, fabricate traffic or signups, or use stolen or unauthorized payment methods.
- Engage in coupon abuse, or post referral links or promo codes on coupon or deal sites without Viewdora’s prior written approval.
- Run paid traffic that misrepresents Viewdora, or bid on, purchase, or use Viewdora’s brand, trademarks, or confusingly similar terms as keywords in paid search or display advertising without Viewdora’s prior written approval.
- Publish misleading ads, fake discounts, or false urgency, or make earnings or results claims that Viewdora has not approved.
- Engage in cookie stuffing, forced clicks, pop-unders, iframe injection, typosquatting, or any technique that sets tracking cookies without a genuine, intentional click by the user.
- Use malware, bots, scripts, or automated traffic in connection with the Program.
- Impersonate Viewdora, or claim or imply that you are an employee, agent, or official representative of Viewdora. You have no authority to make any statement, representation, commitment, or obligation on the Company’s behalf.
- Attempt to circumvent the Tracking Platform or this Agreement to claim rewards or commissions you have not earned.
Email, SMS, and direct marketing. The following rules apply to any direct marketing that promotes Viewdora or contains your referral link or code:
- You must obtain Viewdora’s prior written approval before conducting any bulk email or SMS campaign promoting Viewdora.
- You may send commercial email only to recipients who have given you valid permission (or with whom you have a relationship that lawfully permits the message). Purchased, rented, scraped, harvested, or machine-generated address lists are prohibited.
- Every commercial email must use accurate sender identification and non-deceptive subject lines, include your valid physical postal address, and include a functioning unsubscribe mechanism. Opt-out requests must be honored within the period required by law (for U.S. email, no later than 10 business days) and recipients who opt out must be suppressed from future sends. You must not transfer or sell an opted-out recipient’s address to anyone else for marketing.
- You must not make marketing calls, use autodialed or prerecorded calls or messages, or send marketing text messages promoting Viewdora without all consents required by applicable law (including, in the U.S., the TCPA and state telemarketing laws) and Viewdora’s prior written approval.
- You must comply with the CAN-SPAM Act, CASL, the TCPA, state telemarketing and anti-spam laws, and comparable laws outside the U.S., as applicable to your recipients. On request, you must provide Viewdora with records reasonably sufficient to demonstrate consent and opt-out compliance for campaigns promoting Viewdora.
Company rights. In cases of fraud, abuse, refund, chargeback, cancellation, policy violation, or suspected misuse, or where otherwise permitted by this Agreement, Viewdora may, at its discretion and subject to the payment and dispute provisions of Sections 8 and 15: reject referrals; reverse rewards or commissions; withhold payouts; suspend or remove Participants from the Program; and change, suspend, or end the Program at any time (Section 15).
11. Social Media Disclosures and Legal Compliance
If you have a material connection to Viewdora (including commissions, free products or services, discounts, or other benefits), the U.S. Federal Trade Commission’s Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255) require you to make that relationship obvious. You must clearly disclose your relationship with Viewdora in any promotional content.
Truthful, properly disclosed endorsements are a shared responsibility: Viewdora provides the disclosure guidance in this Section (and any additional guidelines or training materials we publish or require), and you are responsible for applying it in your content. You must review this guidance before promoting Viewdora and complete any disclosure training we may require.
Example disclosures that can work, depending on placement and context:
- “I’m a paid Viewdora ambassador and may earn a commission if you sign up.”
- “Use my code. I may earn a commission.”
- “I earn a commission if you sign up with my link.”
- “Sponsored by Viewdora.”
- “#ad” or “#sponsored” when appropriate.
No phrase is automatically sufficient in every medium: what matters is that your actual audience notices the disclosure and understands the relationship in the context of that specific post, video, stream, or message.
Placement rules. Disclosures must be:
- Clear and expressed in plain language;
- Easy to notice: unavoidable, not buried in hashtags, links, your profile page, or a terms page;
- Placed with the endorsement, and where practical before the referral link or promo code;
- Visible before any “more” or “see more” truncation in captions and descriptions;
- Included in each standalone post, story, reel, email, or video that contains your referral link or code — a disclosure in one post does not cover another;
- Made in the video itself (spoken, on-screen, or ideally both), not only in the caption or description, for video content; and
- Repeated periodically during livestreams, so viewers who join mid-stream still see or hear it.
Vague disclosures are not sufficient, including: “Thanks Viewdora,” “Partner,” “Collab,” or an “affiliate link below” notice buried at the bottom of a post.
Reviews and testimonials. You must comply with applicable FTC endorsement principles and, where applicable, the FTC Consumer Reviews and Testimonials Rule (16 C.F.R. Part 465). Without limiting those requirements, you must not:
- Offer, provide, or accept compensation or incentives conditioned, expressly or implicitly, on writing a positive review of Viewdora (or a negative review of a competitor);
- Create or procure fake reviews, fabricated testimonials, or testimonials attributed to people who do not exist;
- Present yourself as a user of Viewdora, or describe an experience with it, that you have not actually had;
- Use, solicit, or publish a review or testimonial in connection with the Program by a person who is ineligible to participate under Section 2. Nothing in this provision removes any separate obligation to disclose an employment, family, vendor, or other material connection where an endorsement or review is made outside the Program and applicable law requires disclosure.
- Use AI-generated testimonials or reviews that imply a genuine customer or genuine experience where none exists;
- Buy or sell followers, views, likes, or other false indicators of social-media influence in connection with your promotion of Viewdora; or
- Suppress, or use groundless legal threats to remove, truthful negative reviews of Viewdora or of your own channels in connection with the Program.
Monitoring and enforcement. Viewdora may monitor public promotions for compliance with this Section. If we notify you that content is non-compliant, you must promptly correct or remove it. Repeated or material violations of this Section are grounds for suspension or termination under Section 15. We may keep records of guidance provided, notices sent, corrections made, and enforcement actions taken.
Any endorsement must reflect your honest opinions and actual experience. You are responsible for complying with FTC rules, the rules of each platform you publish on, email marketing laws, data-protection laws, and any other laws that apply to your content and channels, including advertising, consumer-protection, anti-corruption, and export-control and economic-sanctions laws.
12. Content and Brand Guidelines
Ambassadors may describe Viewdora based on their honest experience, but may not make claims that Viewdora has not approved or that are false, misleading, exaggerated, or unsupported. Objective claims about the product (performance, security, comparisons) must be limited to statements Viewdora has published or approved in writing. In particular, you may not:
- Make false claims about Viewdora, its features, or its results;
- Claim that Viewdora prevents all screenshots, copying, or theft, or claim that Viewdora guarantees complete copyright protection, sales growth, legal protection, or client compliance. The approved way to describe protection is: “Viewdora is designed to block screenshots and screen recordings in supported Viewdora mobile-app experiences. No technical measure can prevent every form of copying, capture, or unauthorized use.” Viewdora’s own Terms of Service state that screenshot protection is not guaranteed to be fully effective, and your promotion must not contradict that;
- Misrepresent Viewdora’s pricing, discounts, plans, or features;
- Use Viewdora branding in a misleading way;
- Publish or associate Viewdora with offensive, illegal, infringing, discriminatory, adult, hateful, or brand-damaging content;
- Send spam or unsolicited bulk messages (see Section 10); or
- Use client photos, photographer work, or other private content without the owner’s documented permission.
If Viewdora updates its published claims or notifies you that particular claim language has been superseded, you must stop using the old language in new content promptly and correct or remove existing content we reasonably identify as materially misleading.
You are solely responsible for the development, operation, and content of your promotional channels and for all costs you incur.
Confidentiality. “Confidential Information” means non-public information you receive through the Program, such as unpublished terms or rates, performance data, customer information, and upcoming features. It does not include information that is or becomes publicly available without breach of this Agreement, that you already lawfully knew, that you receive from a third party without duty of confidentiality, or that you develop independently. You must protect Confidential Information with reasonable safeguards, use it only to participate in the Program, and not disclose it except as required by law — and if disclosure is legally compelled, you will notify us in advance where legally permitted so we may seek protection. On termination or on our request, you must delete or return Confidential Information (excluding copies retained under routine backup or legal-retention policies, which remain confidential). This obligation lasts 3 years after termination; for information that is a trade secret under applicable law, it lasts as long as the information remains a trade secret.
13. Use of Viewdora Marks
Subject to your compliance with this Agreement, the Company grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to display Viewdora’s names, logos, trademarks, screenshots, and other promotional materials we make available (the “Brand Assets”) solely to promote Viewdora in accordance with this Agreement. This license terminates automatically on termination of your participation or upon our written request.
- You must use Brand Assets only in the form we provide and must not alter, distort, or combine them in a misleading way.
- You must not register, use, or bid on any Viewdora name, trademark, or confusingly similar variation in domain names, subdomains, social-media handles, application names, or paid-search keywords or ad copy without written approval.
- All goodwill arising from your use of the Brand Assets inures to the Company. This Agreement grants you no ownership interest in the Brand Assets or any Company intellectual property, and you will not contest the Company’s intellectual-property rights.
- You grant the Company a non-exclusive, royalty-free right to reference and link to your public promotional content for Program-administration and verification purposes. This Agreement does not itself license the Company to repost, edit, or advertise with your content or to use your name, image, voice, or likeness in Company marketing; if we want to do that, we will ask for your permission separately.
14. Tracking, Cookies, and Third-Party Tools
- Referrals are tracked by the Tracking Platform via referral links (which set a first-party cookie with a 30-day duration when clicked) and via approved Stripe promo codes.
- The Tracking Platform integrates directly with Stripe, Viewdora’s payment processor, and automatically records Subscription payments, refunds, cancellations, downgrades, upgrades, and trials for commission calculation.
- Viewdora’s collection and use of referral and Program data is described in the Viewdora Privacy Policy. The Tracking Platform’s own processing is governed by its terms and privacy policy.
- To the extent you independently collect or process personal information about prospects or referred individuals through your own websites, forms, cookies, mailing lists, analytics, or other channels, you are responsible for that processing and for determining and complying with the legal obligations applicable to your role under the relevant privacy and data-protection laws.
- You must not send Viewdora the contact information of prospects or referred individuals unless you have valid permission to share it with us for that purpose, and you must not use information about Viewdora customers or prospects obtained through the Program for any purpose unrelated to the Program.
15. Program Changes, Suspension, and Termination
Changes. The Company may modify this Agreement, the Program structure, reward and commission rates, qualification rules, promo-code offers, payout terms, or any other Program rule, or suspend or end the Program, at any time.
- For material changes to commission rates, the Commission Term, qualification rules, or payout terms, we will give you at least 30 days’ advance notice by email to your Program email address and/or through the Tracking Platform portal, in addition to posting an updated Agreement with a revised effective date and version.
- Changes apply prospectively only: a change takes effect on its stated effective date and applies to conduct and referrals from that date forward. Changes do not reduce rewards or commissions already validly accrued, and, per the rate lock in Section 4, changes to commission rates or duration do not apply to customers already validly attributed to you.
- Your continued participation after a change takes effect constitutes acceptance; if you do not agree, your sole remedy is to stop participating (which is a termination without breach under this Section).
Term and termination. This Agreement begins when you enroll and continues until terminated. Either party may terminate at any time, for any reason, with or without notice. We may suspend or terminate your participation immediately, without notice, for breach of this Agreement, fraud, prohibited conduct, or conduct we reasonably believe is harmful to Viewdora, its customers, or its reputation. On termination, your license to the Brand Assets ends and you must promptly cease all use of Brand Assets, referral links, and promo codes.
Effect of termination on payments.
- Termination without breach (including termination by us without cause, your voluntary withdrawal, or the end of the Program): commissions on customers validly attributed to you before termination continue to accrue and be paid through each customer’s remaining Commission Term, under the rules of Sections 6–8. Amounts pending at termination are paid once they are approved under Section 7 (including commissions still in the Qualification Period at termination). The $50 minimum threshold is waived for final payouts, and each final payout will be made within 60 days after the amounts in it are approved.
- Termination for fraud, material breach, or prohibited conduct: we may withhold and forfeit rewards and commissions that were generated by, or are reasonably connected to, the fraud, breach, or prohibited conduct, to the extent permitted by applicable law. Validly accrued amounts unconnected to the violation remain payable under the rules above. We will give you written notice identifying the reason for the determination, and you may submit contrary evidence or dispute the determination within 14 days of the notice (and thereafter under Section 17); we will review timely submissions in good faith and issue a written disposition.
16. Relationship of the Parties
For Ambassadors, the parties intend an independent-contractor relationship. Ambassadors control their own lawful promotional methods, schedules, channels, and expenses, subject to the compliance, Brand Asset, and marketing restrictions in this Agreement. Ambassadors are free to conduct other business and promote competing products unless separately agreed otherwise.
No Participant has authority to bind Viewdora, enter into contracts on Viewdora’s behalf, make commitments for Viewdora, or represent that the Participant is an employee, agent, or official representative of Viewdora.
The parties’ legal status is determined by applicable law and the actual relationship, and nothing in this Section waives any non-waivable right or obligation.
17. Liability, Indemnification, and Dispute Resolution
Representations: You represent and warrant that: (a) you have the authority to enter into this Agreement; (b) your participation and promotional activities comply with all applicable laws, regulations, and third-party terms; (c) you own or are licensed to use the content and channels through which you promote Viewdora; (d) your promotions are truthful and not deceptive; and (e) you will comply with the disclosure obligations in Section 11.
Disclaimer: The Program, the Tracking Platform, and all related materials are provided “as is” and “as available,” without warranties of any kind, express, implied, or statutory. The Company does not warrant that the Program or tracking will be uninterrupted or error-free, or that any particular level of clicks, referrals, conversions, or earnings will be achieved. No earnings are guaranteed; any examples of potential earnings are illustrative only.
Limitation of liability: To the maximum extent permitted by law, the Company and its affiliates, owners, and personnel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Program or this Agreement, even if advised of the possibility of such damages. The Company’s total aggregate liability arising out of or relating to the Program or this Agreement will not exceed the greater of (a) the total commissions paid and payable to you in the 12 months immediately preceding the event giving rise to the claim, or (b) US$100. This limitation does not apply to the Company’s obligation to pay validly accrued and undisputed rewards or commissions, or to liability that cannot be limited under applicable law (including liability arising from a party’s fraud or willful misconduct). Some jurisdictions do not allow certain limitations, so they may not apply to you.
Indemnification: You agree to defend, indemnify, and hold harmless the Company, its affiliates, owners, and personnel from and against any third-party claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your promotional activities or channels; (b) your breach of this Agreement or violation of any law; (c) your content or representations about Viewdora; or (d) your violation of any third-party right. This obligation does not apply to the extent a claim arises from unmodified materials Viewdora supplied to you, your compliance with Viewdora’s written instructions, or Viewdora’s own misconduct, and it applies only to the extent permitted by applicable law. The indemnified party will: give you prompt written notice of the claim (delay excuses the obligation only to the extent it prejudices you); allow you to control the defense and settlement with counsel reasonably acceptable to the indemnified party (the indemnified party may participate at its own expense); and reasonably cooperate at your expense. You may not settle a claim in a way that imposes any admission, obligation, or payment on the indemnified party without its prior written consent.
Governing law: This Agreement is governed by the laws of the Commonwealth of Virginia, USA, without regard to conflict-of-law principles. The arbitration agreement below is governed by the Federal Arbitration Act (9 U.S.C. § 1 et seq.).
Informal resolution first: Before initiating arbitration or any court proceeding (other than small claims), the party raising the dispute must send the other a written notice describing the dispute — including the claimant’s name and contact information, a description of the issue and supporting facts, and the relief requested — to hello@viewdora.com (for notices to us) or to your Program email address (for notices to you). The parties will attempt in good faith to resolve the dispute within 60 days of the notice before formal proceedings begin.
Arbitration agreement: If not resolved informally, any dispute arising out of or relating to this Agreement or the Program will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”), rather than in court, except as stated below.
Rules: The arbitration will proceed under the current AAA or AAA-ICDR rules and fee schedule that the administrator determines are applicable to the nature of the parties and dispute, which may include the Consumer, Commercial, Employment/Workplace, or International rules. Where the applicable rules require the Company to pay specified business or employer-side fees, the Company will do so.
Fees. Filing, administrative, and arbitrator fees are allocated as provided in the applicable AAA rules; for consumer arbitrations, the Company will pay the fees the Consumer Arbitration Rules assign to the business.
Procedure: The arbitration will be conducted by a single arbitrator in English. For consumer arbitrations, hearings (if any) will be held by videoconference or, if an in-person hearing is required, in the county where you reside or another mutually agreed location, as the AAA rules provide. For business arbitrations, hearings will be held by videoconference or in Williamsburg, Virginia, unless the parties agree otherwise.
Remedies: The arbitrator may award the same remedies, on an individual basis, that a court could award to an individual under applicable law, including statutory damages and attorneys’ fees where authorized. The arbitrator’s award may be entered in any court of competent jurisdiction.
Exceptions: Either party may bring an eligible individual action in small-claims court or seek temporary or preliminary injunctive relief from a court where reasonably necessary to protect intellectual property, Confidential Information, security, or against imminent irreparable harm pending arbitration.
Class and Representative Action Waiver: To the maximum extent permitted by law, each party may bring claims only in an individual capacity and not as a plaintiff, class member, or representative in a class, collective, consolidated, or representative proceeding.
Jury Trial Waiver: To the extent a dispute may proceed in court rather than arbitration, each party waives trial by jury to the maximum extent permitted by law.
Severability: If a portion of the arbitration agreement is unenforceable, it will be severed to the minimum extent necessary and the remainder will continue in effect unless applicable law requires otherwise.
